| How to construct an offer -

Hi all
I've been offered an opportunity, which I'm looking at at the moment. Basically, somebody has a business in a box opportunity, which from all indications looks VERY profitable.
Essentially, he will be selling a system which shows starts people in their own basic manufacturing business. He wants help pulling the system together, doing the marketing, preparing the box and so on. He's somewhat marketing savvy, but not as much as he needs to be to do it all himself and somebody recommended me. Essentially, he handles the product side of things, and I handle the marketing side of things.
What would you guys recommend for this? I could do it on a basis of charging him for the time I spend, but I think a JV might be a better way to go.
For those who have done this before, what kind of split/structure have you used before, and how have you justified it.
